1. Acceptance of Terms
These Terms of Use (“Terms”) govern your access to and use of the MIMS application and services (the “Service”) provided by MIMS TECH, CORP.. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Description of the Service
The Service is a productivity application. Depending on availability, it may include the following features:
- Notes;
- Tasks;
- Focus/Pomodoro sessions;
- productivity features;
- AI-powered features; and
- available third-party integrations.
We describe features that are currently available. We do not present planned or future features as if they were already available.
3. Eligibility
To use the Service, you must meet the minimum age required under applicable law (18) and be able to form a binding agreement. If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.
4. User Accounts
When you create an account, you are responsible for:
- providing accurate information;
- keeping your credentials secure;
- not sharing your access with others;
- notifying us of any unauthorized access; and
- using only your own account.
5. Acceptable Use
You agree not to use the Service to engage in:
- illegal activities;
- fraud;
- distribution of malware;
- attacks against the Service or others;
- unauthorized access;
- abuse of infrastructure;
- abusive scraping;
- circumvention of security mechanisms; or
- violation of the rights of third parties.
6. User Content
You retain the rights you hold in the content you create through the Service (“User Content”). You grant us only the permissions necessary to store, process, transmit and display your content in order to provide the features you request.
This license is limited to operating the Service and does not transfer ownership of your intellectual property to us.
7. AI Features
Some features use Artificial Intelligence. When you use them, you understand that:
- responses may contain errors;
- responses may be incomplete;
- responses may be outdated;
- you should verify outputs before relying on them for important decisions; and
- requests may be processed by external providers.
8. AI-Generated Content
AI-generated content may be inaccurate, incomplete, outdated, or unsuitable for a particular purpose. It is provided to assist you, not to replace professional judgment.
You are responsible for reviewing and validating AI-generated content before using it.
9. Third-Party Integrations
Certain features may integrate with external services that you choose to connect, for example:
- Zoom;
- AI providers; and
- other services you connect voluntarily.
Each external service may be subject to its own terms and policies.
10. Zoom Integration
The Zoom integration is optional and controlled by you:
- it requires your authorization and voluntary connection;
- it uses your Zoom account to provide meeting-related features;
- you can disconnect the integration at any time; and
- your use of Zoom is subject to Zoom’s own Terms of Service.
11. Intellectual Property
MIMS TECH, CORP. retains all rights in the Service, including the software, code, brand, design, interface, documentation and proprietary content.
You receive only a limited right to use the Service in accordance with these Terms. No other rights are granted.
12. Feedback
You may send us suggestions, feedback, reports and ideas. We may use this feedback to improve the product without obligation to you. This does not give us any rights over your private User Content.
13. Service Availability
The Service may experience maintenance, errors, interruptions, technical changes and temporary unavailability. Unless a separate service-level agreement (SLA) is in place, we do not guarantee uninterrupted availability.
14. Security
You must not attempt to:
- compromise the platform;
- access accounts that are not yours;
- exploit vulnerabilities;
- interfere with the infrastructure; or
- circumvent security controls.
15. Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we handle information.
16. Suspension and Termination
We may suspend or terminate your account in circumstances such as:
- breach of these Terms;
- fraud;
- abuse;
- illegal activity;
- a security risk; or
- a legal obligation.
17. Effect of Termination
Upon termination:
- your access to the Service ends;
- your account may be closed;
- your content may be removed, subject to the points below;
- information we are required to keep may be retained; and
- information that can be deleted will be deleted in accordance with our policies.
18. Disclaimers
To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available”. We do not warrant uninterrupted availability, the complete absence of errors, the absolute accuracy of generated content, or the permanence of any particular feature. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
19. Limitation of Liability
To the maximum extent permitted by applicable law, MIMS TECH, CORP. shall not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of data, profits or goodwill, arising from or related to your use of the Service. Liability that cannot be limited or excluded under applicable law is not affected.
20. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless MIMS TECH, CORP. from claims arising out of your misuse of the Service, your breach of these Terms, your violation of third-party rights, or illegal activities carried out through your account.
21. Changes to the Service
We may, at our discretion:
- add features;
- modify features;
- remove features;
- update infrastructure; and
- make technical changes.
22. Changes to These Terms
We may update these Terms from time to time. When we do, we will change the “Last updated” date at the top of this page, and we will notify you of material changes where appropriate. Your continued use of the Service after an update means you accept the revised Terms.
23. Governing Law
These Terms are governed by the laws of the State of Florida, United States of America, without regard to conflict-of-law principles.
24. Dispute Resolution
Any dispute arising from or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida, United States, and you consent to personal jurisdiction and venue in those courts. Nothing in this section prevents either party from seeking relief in a small-claims court for qualifying claims.
25. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect to the extent permitted by law.
26. Entire Agreement
These Terms, together with the Privacy Policy and any policies expressly referenced, constitute the agreement governing your use of the Service, to the extent permitted by applicable law.
